SECTION 01
Scope of Digital Services & SOW Clarity
All commercial engagements are executed against a formal Statement of Work (SOW) or engineering proposal outlining technical architecture, functional specifications, delivery milestones, and quality gates. Unilateral verbal agreements do not constitute binding amendments; scope changes must be documented via written technical change requests.
SECTION 02
100% Intellectual Property & Code Ownership
Kairav Studio operates on a strict zero-vendor-lock-in philosophy. Upon full payment of milestone fees, 100% of bespoke source code, application architectures, database schemas, and visual assets are transferred unconditionally to the client. Kairav Studio retains no proprietary restrictive licenses over your custom product code.
SECTION 03
Milestone Acceptance & Review Protocols
Deliverables are continuously deployed to staging environments for verification against the agreed specification. Clients have a standard review window of 10 business days per milestone to test functional behavior. Any valid architectural discrepancy or bug discovered within this window is remediated immediately without additional billing.
SECTION 04
Billing Structure & Payment Schedules
Fixed-scope projects operate on milestone tranches (typically a 50% architecture deposit, followed by milestone progress payments and final acceptance sign-off). Retainer and sprint engineering engagements are billed on net-14 terms. Late payments exceeding 30 calendar days may pause staging deployments until settled.
SECTION 05
Confidentiality & Mutual Non-Disclosure
We treat all proprietary product concepts, user data, server credentials, and trade secrets with utmost confidentiality. Mutual Non-Disclosure Agreements (NDAs) signed prior to discovery are strictly upheld across all engineering pods, external contractors, and infrastructure setups.
SECTION 06
Limitation of Liability & Governing Jurisdiction
In no event shall either party be liable for consequential, indirect, or punitive damages. Kairav Studio's aggregate commercial liability under any engagement shall not exceed the total fees paid under the applicable SOW. These terms are governed by the commercial laws of the Republic of Indonesia with arbitration seated in Yogyakarta.
